The Deposit Takers (Incorporation outside NZ) Standard sets the requirements for overseas-incorporated entities that accept deposits in New Zealand. It establishes when an entity must be locally incorporated rather than operating as a branch, and the conditions under which a branch may continue to operate.
This standard applies exclusively to NZ-G4 entities — branches of overseas banks and institutions operating in New Zealand. It does not apply to locally-incorporated deposit takers (G1–G3).
Key obligations (draft)¶
- Criteria for determining when local incorporation is required (generally where the NZ deposit-taking business is of sufficient systemic significance)
- Minimum conditions for branch operation: home regulator supervisory equivalence, branch-specific disclosure, and parent guarantee or equivalent support
- RBNZ approval process for continued branch operation or transition to local incorporation
- Reporting obligations specific to overseas branches, including parent group financial data and NZ depositor exposure data
Relationship to Branch Standard¶
The Incorporation Outside NZ Standard addresses the entry and structure question (branch vs. locally incorporated entity). The Deposit Takers (Branch) Standard addresses the ongoing operational obligations for entities that are permitted to operate as branches.
Platform relevance¶
NZ-G4 entities are unlikely to be SaaS platform customers — overseas bank branches typically use their parent group's core banking infrastructure. This standard is modelled for completeness and to ensure the platform's obligation registry is accurate for any branch-structure customer that may onboard.
